I think your "$out_dir/" is causing problems as Windows (and thus xcopy) uses forward slash, not backward slash as the directory character.

Try this - it worked for me:

system('xcopy', "\"$und_db\"", "\"$out_dir\\\"", '/r', '/y', '/i');
